1. License Agreement. A realty.mississippi.com Account is provided by realty.mississippi.com. ("realty.mississippi.com" or "we") to you ("Subscriber" or "you"), subject to the terms of this Agreement. realty.mississippi.com may revise the License Agreement at any time in realty.mississippi.com's sole discretion, and such revision shall be effective thirty (30) days after posting the revised License Agreement in the Residential Agent Section of the realty.mississippi.com Webpage (www.realty.mississippi.com). This will include notice of the date of the last License Agreement modification ("Revision Date"). You agree to review the License Agreement periodically to be aware of such revisions. If any such revision is unacceptable to you, you may terminate your account membership as provided in Section 10 below. Your continued use of your realty.mississippi.com Account following The Revision Date of any such revision to the License Agreement shall be conclusively deemed as acceptance of all such revisions.
   
2. Account Information. The realty.mississippi.com Account is solely for your use and you agree to provide realty.mississippi.com with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement and unauthorized access to realty.mississippi.com, and may result in immediate termination of your account and subject you to civil liability.

   realty.mississippi.com reserves the right to change its fees and billing methods at any time. If any such change is unacceptable to you, you may terminate your Subscription as provided in Section 10 below. Your continued use of the realty.mississippi.com services following the effective date shall be deemed acceptance of such change. Your monthly subscription fee is payable in advance and is not refundable in whole or part. You are responsible for any unauthorized charges and accesses to your account. Each time you use realty.mississippi.com you agree and reaffirm that realty.mississippi.com is authorized, as applicable, to charge your designated card or withdraw funds via electronic funds transfer from your credit card account or bill by invoice. Your billing information will be encrypted and stored on a realty.mississippi.com secure server. You acknowledge that if you want to see the detailed components of accumulated charges you may do so under the area "Account Statements".
   
4. No Warranty. Subscriber expressly agrees that use of realty.mississippi.com and realty.mississippi.com information is at Subscriber's sole risk. The status of any investment, including real estate investments, cannot be predicted with absolute or one hundred percent certainty. Due to the varying degrees of uncertainty of any investment, the Subscriber should not expect, and realty.mississippi.com expressly disclaims, any promises, guarantees or absolute predictions of future real estate performance.
   
5. Billing Terms. You are charged a monthly fee for your use of the realty.mississippi.com products and/or data. This fee is assessed the 1st of every month at 1:00 a.m. Eastern Standard Time. Your member privacy and account security is of utmost importance to realty.mississippi.com. Your billing information is stored on a secure server and cannot be accessed by connecting to the realty.mississippi.com web page until you enter your account ID and password. Any parties which do not cancel their accounts are responsible for any monthly and late fees occurred up until the time of termination by realty.mississippi.com.
   
6. Leads and Property Analysis. Any leads garnered off of a top level web site such as realty.mississippi.com are free of charge. realty.mississippi.com owns the list of such visitors. realty.mississippi.com retains all rights of any leads generated through its web site for future use.
   
7. Distribution. Subscribers may not charge the customer, client or anyone any fee for providing the information posted on realty.mississippi.com. 
   
8. Advertising. Subscriber may use the name "realty.mississippi.com" or "www.mississippi.com " in their property advertisements.
   
9. Indemnification. Upon request of realty.mississippi.com, Subscriber agrees to defend, indemnify and hold harmless realty.mississippi.com, its affiliated companies and licensees from all liabilities, claims and expenses, including attorneys fees, arising from breach of the License Agreement or by use of, or in connection with, the transmission by or through the realty.mississippi.com Account. realty.mississippi.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Subscriber hereunder, and in such event, Subscriber shall have no further obligation to provide indemnification for such matter.
   
10. Termination. Subscriber may terminate membership at any time. Subscriber's only right and sole remedy with respect to any dissatisfaction with any (i) License Agreement term, or policy or practice of realty.mississippi.com in operating realty.mississippi.com, (ii) Content available through realty.mississippi.com or change therein, or (iii) amount or type of fees or billing methods, or change therein, is to terminate their Subscription by contacting the realty.mississippi.com Support Division by e-mail at info@realty.mississippi.com or by phone at 228-832-6186. Subscriber's notice of termination will be effective immediately. In the event that a Subscriber's account is terminated or canceled, no refund of any fees, including monthly membership fee, will be granted. realty.mississippi.com shall provide notice of termination by e-mail to the address provided by Subscriber.
    
11. Law. Should any part of the License Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties and the remaining portions remain in full force and effect. The License Agreement and your membership shall be governed by the laws of The State of Mississippi. Subscriber expressly agrees that the exclusive jurisdiction for any claim or dispute resides in the courts of the State of Mississippi. Subscriber further agrees and expressly consents to the exercise of personal jurisdiction in the State of Mississippi in connection with any dispute or claim involving realty.mississippi.com.
